Terms of Service for Merchants

1.General Description

 

1.1 Introduction


These Merchant Terms and Conditions (this “Agreement”), is a legal agreement between you as a merchant and Y Waste Why Waste Pty Ltd (Y Waste), which guides your use of and access to the Merchant Application (as defined below) and the Website (as defined below).

 

If you don’t want to be bound by this Agreement, please do not access or use the Merchant Application and/or Website. Y Waste may terminate, without notice, your access to the Merchant Application and/or Website for failure to comply with this Agreement. By creating an account in the Merchant Application and/or the Website, you accept this Agreement and agree to be bound by each of its terms.

 

You also represent and warrant to Y Waste that:

You have the authority to enter into this Agreement (either on your own behalf or by having an authorized person at your company agree to the terms set forth herein on your behalf),

To the extent an individual is accepting this Agreement on behalf of an entity, such an individual has the right and authority to agree to all of the terms set forth herein on behalf of such entity. You have read and understood Y Waste’s Privacy Policy, the terms of which are posted at the Website and incorporated herein by reference (the “Privacy Policy”).

 

2. What Y Waste offers

 

The Y Waste service is a sales channel via on which merchants offer to take away food items to registered users. In these terms of the Y Waste service, the term “Merchants” refers to restaurants, but it may also refer to other food providers operating e.g. in the grocery, cafe or bakery sector or any non-food service providers. The aim of this service is to give Merchants the opportunity to sell surplus food as a takeaway to consumers. The Y Waste service allows Merchants to gain extra income while decreasing food waste.

 

2.1 Purpose

 

The purpose of this Agreement is to explain the terms and conditions under which Y Waste will let you use Y Waste’s merchant application (the “Merchant Application”) through your mobile device or computer and/or use the Website (collectively, the “Purpose”).

As also mentioned in other parts of this Agreement, Y Waste does not have any control over any merchants or other third parties and therefore is not liable or responsible for any actions taken or supposed to be taken by any such third party.

 

3. The Y Waste Service

 

3.1 Registration

 

To use the sales channel service and the features made available through the Merchant Application and Website, you are required to complete a registration process to create an account with Y Waste (“Account”).

 

You are given access to use Y Waste’s software platform commonly referred to as “Y Waste Merchants” or “Y Waste for Donation” (the “Merchant Application”) as made available through its website located at http://aap-why-waste.fbb.dxz.mybluehost.me/merchant/index.php (the “Website”) and/or via mobile application during the Term (as defined below) solely for the Purpose.

 

Your account offers you easy access to see your company details, the food items you offer for sale, and the purchases and /or donations that have been made through Y Waste’s service offering. In order to create your Account, it is necessary to provide certain information, which includes, your name, contact information, and more. It is also necessary to provide your company details, which include company name, company information, contact information, bank details etc.

 

How Y Waste store and use of the personal information provided by you when registering for an Account and/or using the Merchant Application and the Website is set out in the Privacy Policy.

 

3.2 Creating sales

 

The logged in Y Waste merchant creates surplus items to be sold (hereinafter referred to as “Item(s)”). To create an Item, the merchant has to provide certain Item information such as title, ingredients, regular price and discount. Each Item must be listed with the correct regular price, and must also be discounted fifty(50)percent or more or as in agreement within both parties. It is strictly prohibited to list an Item at a higher original price than the price charged at the merchant’s location.

 

The merchant then lists the number of available Items, sets the sale times and pick-up time, and sale starts through the Merchant Application. After the sale has started, the available Items will be shown to the Y Waste users.

 

3.3 Order and order confirmation

 

The logged in Y Waste user places the Item order through the Y Waste consumer application. Individual Y Waste users purchasing Items through the Y Waste consumer application are hereinafter collectively referred to as Buyers or individually a Buyer. After placing the order, the logged in merchant will receive an order confirmation in the Merchant Application and by email.

 

3.4 Merchant’s sales obligations

 

After a Buyer has placed an order for an Item made available by you through the Merchant Application, and an order confirmation has been received, you are obliged to provide the Buyer with the ordered Item during the specified pickup time unless the ordered item is sold out before designated pickup time.

Items made available through the Merchant Application must be of a standard that a reasonable person would regard as satisfactory. For example, this means that each provided Item shall be fit for all the purposes for which Items of that kind are usually supplied, be safe for consumption and have satisfactory quality, appearance and finish. You are solely responsible for determining the quality and freshness of the Items made through the Merchant Application.

 

You are committed to preparing the food items offered through the service in compliance with the legislation, within the country of which you do business, concerning the handling, storing and transportation of food and in accordance with the established principles and practices of the industry. If the merchant detects a technical error or other errors in the Y Waste service, the merchant can report the problem through the Merchant application or Website.

 

3.5 Payment of the order

 

The Buyer will pay for ordered Item(s) through the Y Waste customer application or Website. Y Waste may use a payment service provided by a third- party. Y Waste will automatically charge from the user at the time of the order. The user does not have the right to cancel or change a made order unless stated otherwise by the merchant. The restriction of the right to cancel a made order is based on the nature of food, which may spoil or age rapidly.

 

3.6 Pick up of order, redemption and delivery

 

Upon arrival, the Buyer shows the merchant an order confirmation (Electronic receipt) in the consumer application to receive the Item(s). The merchant has also the ability to confirm an order in the Merchant Application and website by identifying the Buyer by name. The merchant must “swipe/redeem” the receipt when presented to the merchant.

 

The Buyer should pick up the ordered Item from the merchant premises in a timely manner during the time frame informed by the merchant. If the Buyer does not collect the order during the given time frame, the merchant has the right to do as they see fit with the Item ordered by the Buyer. In such cases, the Buyer is not entitled to a refund for the ordered Item, unless agreed otherwise with the merchant.

 

3.7 Fees

 

Y Waste charges 20% of the order value for each order made through the Y Waste consumer application.


3.8 Payouts

 

Monthly payouts of the merchant’s sales through the Y Waste service are made to the account specified by the merchant. During the first week of the month, the merchant is sent a sales report specifying the sales from the previous month, if any such sale has been made.

 

3.9 Refunds


If the merchant by any chance has to cancel an order made by a Buyer for reasons such as, but not limited to, unavailability and/or quantity errors, the merchant can refund the Buyer by contacting Y Waste. In the case that a customer requests a refund the merchant will always be asked for a comment before a refund is made. Y Waste will handle such refunds as soon as a possibility during regular business hours from 8 am to 11 pm on email: merchant@myywaste.com or telephone: 1300 848 428.

 

3.10 Reclamations and service disruptions


The Y Waste service is a mediator of merchants’ food items. Y Waste is not the provider or the producer of the Items listed in the service and will not, to the extent permissible by mandatory law, be liable for the quality of ordered Items, damage caused by provided Items or errors that may occur during the pickup of an order. The Merchant is solely responsible for all the user reclamations concerning Items made available through the Merchant Application. Y Waste will direct all the reclamations of Item(s) to the merchant.

 

3.11 Customer support


Y Waste offers support via the support centre, which can be reached through the chat found in the Merchant Application or contact information on the Website http://www.ywasteapp.com. Please refer to the Website for up to date information on the support centres opening hours. Response time is 1 hour.

 

4. Conditions of Use

 

4.1 Certain responsibilities
It is the Merchants responsibility to make sure that all information provided by you to Y Waste is current, accurate, and complete, and that you will maintain the accuracy and completeness of this information going forward.

 

It is also the Merchants responsibility to maintain all passwords and access codes to the Merchant Application and/or the Website, and refrain from sharing or otherwise permitting third parties to use any such passwords and/or access codes to access the Merchant Application or the Website.

 

4.2 Certain Restrictions


Y Waste does its best to keep the Merchant Application and the Website safe and secure but needs your help to do it by not violating or attempting to violate the security of the Merchant Application or the Website.

Except as expressly permitted under other parts of this Agreement, you may not modify, reproduce, duplicate, copy, publish or create derivative works of:Any portion of the Website or the Merchant Application, any content, photographs, descriptions, software, image or other information or any data taken therefrom (collectively, “Content”). For the sake of clarity, this does not apply to content belonging to the Merchant such as for example photos of items from the Merchant in the Merchant Application or Website.

 

Any information or materials retrieved from either of them, which include graphics and logos, presentations, in whole or in part. Furthermore, you may not use the Website or Merchant Application for any purpose that:

Invades any person’s or entity’s privacy or other rights; Misidentifies you or impersonates any person or entity, including, without limitation, any employee or representative of Y Waste;

Pretends to be someone other than you are or pretends to represent a company or organization that you are not affiliated with or authorized to represent; Could otherwise reasonably be deemed or viewed to be unethical, illegal or offensive.

 

4.3 Y Waste rights


In Y Waste shall be entitled to post feedback on the Website, within the Merchant Application and the Y Waste consumer application (and/or allow others to do so), both positive and negative, regarding any merchant. case of negative feedback, the Merchant shall have the right to be informed before such feedback is posted.

 

Y Waste has the right to at any time suspend or terminate a merchant’s Account and access to the Merchant Application or non-public portions of the Website if the merchant violates this Agreement or uses the Merchant Application and/or Website in a way that is harmful to Y Waste or any third party.

 

5.Content

 

5.1 Third party content
The Merchant Application, the Website and the consumer app contain and/or provide access to content provided by merchants and other third parties, including, food item information, pricing, discount information, menus, photographs, graphics and merchant information (“Third Party Content”).

 

5.2 Information accuracy


The third party that any Third Party Content originates from is solely responsible for it, and Y Waste does not and cannot review all Third Party Content made available through any part of the Merchant Application or the Website. As such, Y Waste cannot guarantee the correctness of any Third Party Content or fitness for use of any offers posted on via the Merchant Application and the Website.

In no event shall Y Waste be liable for any damages arising out of your use of the Merchant Application and/or the Website, or for any loss or damage of any kind incurred as a result of the Third Party Content or offers.

 

Y Waste cannot guarantee that the Merchant Application and the Website, including the Content, will be uninterrupted or error-free. Y Waste cannot be held responsible for if the Merchant Application and/or the Website is down or if any Content, information or functionality does not work as expected.

 

5.3 Intellectual property

 

For purposes of clarity between Merchant and Y Waste, Merchants are the sole owners of all information and content entered into the Merchants Application or the Website or otherwise posted by you. Y Waste is the sole owner of the Website, the Merchant Application, and all source code, software, content and other intellectual property related to it or included in it.

All suggestions and recommendations from Merchant to Y Waste regarding the Merchant Application or the Website are, upon submission to Y Waste, owned by Y Waste.

In exchange for Merchants use of the Website and/or the Merchant Application, you hereby grant Y Waste the right to use the content you post to the Website, submit to Y Waste or post through the Merchant Application for marketing purposes.

 

Y Waste shall be entitled to display advertising and/or any other content at locations of its choosing within the Website and/or Y Waste consumer application, including without limitation adjacent to your content.

 

5.4 Confidentiality

 

Each party agreed to treat all information of the other party as confidential, not to use such confidential information for any purpose other than to use the Merchant Application or the Website and not to disclose such confidential information to any third party except as may be reasonably required according to this Agreement and subject to confidentiality obligations.

 

5.5 Non-Solicitation

 

During the Term (defined below) and two (2) years thereafter, merchants shall refrain from directly or indirectly soliciting, enticing, persuading or inducing any individual who is then, or has been within the one-year period prior to the applicable date, an employee of Y Waste to terminate employment with Y Waste or to become employed by or enter into contractual relations with any other individual or entity.

 

5.6 Copyright infringement

 

Y Waste respects the intellectual property of others and asks Merchants to do the same. Merchants may not use the Website, Merchant Application, the Content or any other materials from the Website or Merchant Application in any manner that may infringe upon any copyright or other intellectual property rights of Y Waste or any third party.

 

6. Terms and Termination of Account

 

6.1 Term
This Agreement shall continue in full force until either:

Merchant terminates the Account or Y Waste terminates access to the Merchant Application or non-public portions of the Website, with or without notice (the “Term”). When this Agreement is terminated, Merchant no longer has access to the Merchant Application or any other non-public portions of the Website.

 

6.2 Termination of account

 

For the purpose of clarity, Merchants are entitled to terminate the Y Waste account at any time. Choose “Delete account” or any corresponding function in the Merchant Application and/or the Website, or contact Y Waste. Y Waste will then delete any personal information that can be attributed to you, except for any information that Y Waste by law is required to save and archive.

 

7. Other

 

7.1 Force Majeure

 

Y Waste shall not be liable to Merchants for failure or delay in performing any obligations hereunder if such failure or delay is due to circumstances beyond its reasonable control.

 

7.2 Changes or updates of the agreement

 

Y Waste may update this Agreement from time to time, and any such change or update will be set in effect when posting the updated Agreement on the Website or within the Merchant Application. When we make major changes to the Agreement, we will provide Merchants with prior notice as appropriate under the circumstances, e.g., by displaying a notice within the Merchant Application, the Website or by sending an email. If Merchants do not agree to the changed Agreement, Merchants have the right to terminate the Merchant Account before the changed Agreement comes into force. Notice for minor changes/updates will be 2 weeks and notice for major changes will be 4 weeks.

 

7.3 Termination of service

 

Y Waste reserves the right to modify, suspend, or discontinue the Merchant Application and the Website without any notice at any time and without any liability to Merchants.

 

7.4 Miscellaneous

Unless otherwise specifically provided herein, each party shall pay its own costs and expenses in connection with this Agreement and its activities hereunder.

 

All disputes arising hereunder or in connection with this Agreement, the Website and/or the Merchant Application shall be resolved by the laws Queensland, Australia. Merchants hereby consent to exclusive jurisdiction of the Court of Queensland, Australia and agree not to raise any defence of forum non-convenience or any similar defence.

 

Y Waste has the right to transfer its rights and obligations under this Agreement. Furthermore, Y Waste has the right to hire subcontractors for the fulfilment of its obligations. In such cases, Y Waste is fully responsible for the work performed by the subcontractors.

If any part of this Agreement is held to be unenforceable or invalid for any reason, said part will be changed and interpreted to best accomplish its original intent and objectives. Any remaining parts will continue in full force.

It is essential for us that you understand what personal information we collect and why. In exchange for your trust, you expect and deserve our commitment to treat your information with respect and in accordance with this Privacy Policy. Rest assured that we will protect your privacy. For the purpose of clarity, we have Merchants and customers that use different portions of our service but both adhere to this Privacy Policy. Under no circumstances will Y Waste sell or share any personal information about you to or with any person or organization except:As authorized by you, In connection with providing various products and/or services to you (the “Service(s)”),To the extent, you make any use of Y Waste’s mobile software application commonly referred to as “Y Waste app” or any other Y Waste mobile application (collectively the “Application“), or Y Waste’s website (“Website”),To merchants with which Y Waste has a business relationship (our customers),As may be required by law or court order, or As otherwise set forth herein.

 

The Privacy Policy below describes the standards we live up to in handling information about you and any personal information you submit through the Website and/or the Application and sets out the various purposes for which we may process your personal data.


2. Who we are

3.A special note about children


Children are not eligible to use our Services and we ask that individuals under the age of eighteen (18) do not submit any personal information to us or use the Services. Although visitors of all ages may navigate through the Websites or use our Application, we do not knowingly collect or request personal information from those under the age of eighteen (18) without parental consent. If, following a notification from a parent, guardian or discovery by other means, a child under eighteen has been improperly registered on our site by using false information; we will cancel the child’s account and delete the child’s personal information from our records.

Other age restrictions may be set forth in Y Waste’s Terms of Use from time to time.

 

4.The personal information we collect

 

There are several areas on the Website and/or within the Application where you may be asked to enter both personal and non-personal information. For more detailed information on the personal information we collect, please see the sections below.

 

4.1 Registration data

 

To use certain of Y Waste’s Services and/or to access the Application and the Website, you’ll need to provide certain personal information which may include, your name, password, phone number and email address. If a user connects to the Services and/or the Application using credentials from a third party application (e.g. Facebook), the user will provide us with authentication information such as encrypted access credentials. We may also collect other information available on or through the user’s third-party application account, including, for example, name, profile picture and email address.

 

4.2 Technical information we collect

 

When you use Y Waste’s Services and/or access the Application and the Website, we automatically collect certain technical information.


(a) Usage data


In order for Y Waste to ensure that we are providing the best possible consumer experience on the Website and within the Application, we collect and track certain user and customer information, such as
The IP address, general geographic location as indicated by the IP address, browser and/or mobile platform type, the webpages viewed on our websites, whether someone interacts with content available on our websites and how.

 

In addition, when you use the Application Y Waste automatically receives and records information on our server logs from your browser or mobile platform, including information regarding your mobile or browser device, IP address and location. Y Waste also automatically collects and uses additional information from users and customers such as Application and/or Website open date and time, idle time, and clicks and/or swipes within the Application and/or Website (together with time and order).

 

(b) Device information

 

We may collect device-specific information, such as your hardware model, operating system version, unique device identifiers, language settings and mobile network information.

 

(c) Cookies

 

When you visit the Website, our Web server may send a cookie to your computer. This cookie stores a limited amount of information about your site visitors and tracks aggregate information on how our site is being used, including session counts, navigation patterns, pages visited, etc. By using cookies we may collect information about the type of device you use to access our websites, the operating system and version, your IP address, your general geographic location as indicated by your IP address, your browser type, the webpages you view on our websites and whether you interact with content available on our websites and how. If you choose to set your web browser to not accept cookies, Y Waste can’t guarantee that the Website will work as intended.

 

(d) Weblogs

 

Y Waste may also utilize weblogs to track aggregate information about how our site and/or the Application is being used. Weblogs track anonymous user information, including the number of visitors to the Website, operating systems, IP address (if publicly available), and browser type. Unlike cookies, weblogs are maintained only on Y Waste servers and do not store or place anything on the user’s computer.

 

(e) Advertisement identification numbers

 

If you come to the Y Waste Website or Application from an online advertisement, an anonymous identification number may be passed to the Website or Application. This information cannot be used to gather any personally identifiable information about you. It will only allow us to track the overall effectiveness of our online advertising, marketing and banner advertisement campaigns.

 

4.3 Other Information we get from your use of the Services


We may collect information about the Services that you use and how you use them. This information includes the following.

 

(a) Payment data


When users make a purchase through the Service, their credit or debit card information (such as card type) and other financial data that is needed to process the payment may be collected and stored by us and/or the payment processors with which we work. In addition, the payment processors generally provide us with some limited information related to you, such as a unique token that enables you to make additional purchases using the information they’ve stored, and your card’s type, expiration date, and certain digits of your card number.

 

(b) Information from surveys


You may have the option of completing an online survey at the Website or within the Application from time to time. Participation in surveys is completely voluntary and it is your choice whether or not you wish to disclose your personal information to us in connection with any such survey.

 

Information from the “Contact Us” section of the Website or Application.

You may contact Y Waste through the “Contact Us” feature for support issues or general inquiries. Participation in this area is completely voluntary and it is your choice whether or not you wish to disclose your personal information to us.

 

Y Waste may also collect information posted by users on social media sites for users that have opted to connect to or otherwise link Y Waste with social media accounts including Facebook and Twitter.

Y Waste may, from time to time, make various resources available to you at the Website or within the Application. At times we may collect personal information in connection with providing such services.

 

4.4 Supplementary User Data

 

In order to improve the experience of our Services and to ensure that the Application meets the various needs and expectations of our users, we collect the following Supplementary User Data. You can opt out of sharing Supplementary User Data by logging in to your Application and following the steps listed in section 10.3 (Altering the information you submit) below.

 

(a) Food preferences

 

When signing up for the Service you may choose to provide us with certain information regarding your culinary preferences which will give you access to more enhanced functionality of the Services, including but not limited to personalised content, recommendations and features.

 

(b) Location information

 

When you use the Service or access the Application, we may collect and process information about your actual location (by using, for example, GPS or Bluetooth). We may also use various technologies to determine location, some of which may be made available through third-party licensors. Providing us with your location information will give you access to more enhanced functionality of the Services, including but not limited to personalised content, recommendations and features.


(c) Push Notifications

 

When signing up for the Service you may choose to allow us to send you to push notifications when there’s food available for purchase. When you allow us to send you to push notifications we store a unique token associated with your device.

 

5. Our legal grounds for handling personal information

 

There are different legal grounds that we rely on to use your personal information as stated hereunder.
 

5.1 Performance of a contract


The use of your personal information described herein may be necessary to perform the agreement you have with us. For example, to give you access to the Application, the Website and the Services, to register and maintain your account, to enable payment services, to help with support issues and to make sure that your Application performs as intended or to respond to your requests.

 

5.2 Legitimate interests


We may use your personal information for our legitimate interests. For example, we rely on our legitimate interest to analyse and improve the Services and the content on our Website and the Application, to send you notifications about software updates or information about our Services or to use your personal information for administrative, fraud detection or legal purposes.

 

6. How we use personal information


Y Waste uses the data we collect to provide you with the Application, the Website and the Services, which includes using data to improve and personalize your experience. We also use the data to communicate with you, for example, informing you about your account, new services, security and other types of updates.

 

6.1 Providing the Application and the Services


We use data to provide, operate, support and improve the Application, the Website and the Services to ensure that merchants can sell food items to users as effortlessly as possible. Such data use also includes the handling of payment information for the purpose of being able to provide you with the Services. This processing is necessary for the performance of the agreement we have with you.

Supplementary User Data may also be used to give users access to
customized, personalized, or localized content, recommendations,
features, and advertising through the Application and the Services.

 

6.2 Support services


We use data to respond to customer enquiries, diagnose Application/Service problems and provide other customer care and support services. This processing is necessary for the performance of the agreement we have with you, as well as to serve our legitimate interest.

 

6.3 Service Improvement


We continually use data for research purposes and to develop and improve our Services, including maintaining and improving the performance of the Application and the Services, developing and adding

new features or capabilities. This processing is necessary to serve our legitimate interest.

 

6.4 Business Operations


We use data to develop aggregate analysis and business intelligence that enable us to operate, protect, make informed decisions, and report on the performance of our business. This processing is necessary to serve our legitimate interest.

 

6.5 Security, Safety and Dispute Handling


We use data to protect the security and safety of our users, customers, and the Application, to detect and prevent fraud, to resolve disputes and enforce our agreements. This processing is necessary to serve our legitimate interest.

 

In addition, Y Waste may disclose account or other personal information when we have reason to believe that disclosing this information is necessary to identify, contact or bring legal action against someone who may be causing injury to or interference with Y Waste’s rights or property, other Website or Application users or anyone else that could be harmed by such activities. This processing is necessary to serve our legitimate interest.

 

6.6 Communication, Marketing and Advertising


We use the data we collect to deliver and personalise our communications with you. For example, we may contact you by email or other means of electronic communication (including through the Application) to inform you about new features or services, security or software updates or invite you to take part in a survey. This processing is necessary to serve our legitimate interest.

 

We may also share certain aggregated data with other third parties for general marketing and demographic purposes; however, this data, when shared on an aggregated basis, does not include any of your personal information.


7. How we share personal information


Y Waste does not and will not sell personal information about our Merchants and customers. We only disclose your data as described in this Privacy Policy.

In particular, and not in limitation of the foregoing, information you as a user enter at the Website and/or Application; Will be shared with the merchants or third party service providers, with which Y Waste has entered into a business relationship in order to provide the Services,May be shared with various third parties in connection with making available to you certain offers (which offers may be based on or related to your location at the time the offer is made available, unless you have opted out from receiving marketing information and/or Supplementary User Information).

 

In addition, Y Waste may disclose or otherwise use non-personal information gathered on the Website or within the Application to third parties on an aggregated basis.

 

8. Data transfers

 

Y Waste transfers, processes and stores information about its Merchants and customers on servers located in a number of countries. Information collected might be transferred to and processed by third parties located in a country outside of the OIAC/EU/EEA. You can always alter the information you have submitted when creating your Account by going to Settings in the Application

 

Y Waste may alter, modify or delete any information you submit to the Website or through the Application if we believe, in our sole discretion, it is necessary or desirable to do so.
